The Board of Directors consists of the President, President-Elect and Vice-President, and one (1) director appointed by each Corporate Member.

The members of the Board are accountable to the Voting Members of the Association and represent CDA as a whole.

Directors are elected or appointed for a term of one (1) year and are eligible to serve up to six (6) years as directors on the Board of Directors, plus any one-year terms served as President, President-Elect and Vice-President.

Duties and Responsibilities of the Board of Directors

The Board of Directors shall supervise the management of the business and affairs of the Association. The Board of Directors may administer the affairs of the Association in all things and make, or cause to be made for the Association, in its name, any kind of contract which the Association may lawfully enter into and, except as provided elsewhere in these Bylaws, generally may exercise all such other powers and do all such other things as the Association is, by its Letters Patent or by applicable laws, authorized to do.
